Ms. Westfall represents clients in the employee benefits and executive compensation aspects of mergers and acquisitions, financings, and other types of transactions, including due diligence, negotiations, and post-transaction benefits integration. In addition, she advises clients with respect to the design and operation of equity compensation arrangements, including all forms of stock compensation (such as stock option, restricted stock and phantom stock plans), partnership equity plans and long-term incentive plans, and the implications of Sections 162(m), 280G and 409A of the Internal Revenue Code on such arrangements. Ms. Westfall regularly represents both employers and senior executives in connection with the negotiation and drafting of executive compensation agreements, including employment, change-in-control, retention and severance agreements. Ms. Westfall also counsels investment fund sponsors and investing plans on the fiduciary, prohibited transaction and other implications of ERISA. She provides advice to clients on all aspects of their employee benefit programs, including the design and implementation of tax qualified retirement plans (such as 401(k) plans, defined benefit plans and ESOPs), health, welfare and other fringe benefit plans (including medical, dental, disability, life insurance, cafeteria and consumer-directed health plans), as well as compliance with ERISA, COBRA, HIPAA and the Internal Revenue Code.

Ms. Westfall received her B.A. in International Relations from Mount Holyoke College in May 2003, and her J.D. from Widener University School of Law in May 2006. Ms. Westfall earned her LL.M. in Taxation, with distinction, as well as an Employee Benefits Law Certificate, from Georgetown University Law Center in May 2007.

Vicki D. Blanton is the Senior Benefits Counsel practicing ERISA, employee benefits and executive compensation for American Airlines, Inc. In that capacity, she handles the legal issues related to the Company's various union and non-union retirement plans, health and welfare plans, international benefits, and executive compensation plans. She joined American Airlines in August 2008 from JCPenney, where she worked for almost 8 years in a similar capacity with increasing responsibilities. Vicki began her legal career in 1991 at Thompson & Knight as a trial lawyer. In 1995, Vicki became an Assistant City Attorney for the City of Dallas, Texas, where she changed her practice from litigation to employee benefits.

Vicki received a J.D. from the Southern Methodist University School of Law in 1991, and a Bachelor of Journalism from the University of Texas at Austin. During her legal career, Vicki has been named to D Magazine's list of Best Lawyers in 2005 and 2007, as well as Eclipse Magazine's Dynamic Lawyers list. She was also named as one of the Best Corporate Counsel by the Dallas Business Journal. She is the Vice-Chair of the Corporate Counsel Forum of the Employee Benefits Subcommittee of the American Bar Association Tax Section.

Elizabeth B. Bradley has over fifteen years of experience representing employers and federal contractors in litigation and mediation matters before state and federal agencies and courts, as well as counseling and training private, public, and non-profit employers in all aspects of employment law.

In addition, Ms. Bradley has extensive knowledge and experience in counseling federal contractors in matters relating to OFCCP. She has represented U.S. corporations in successfully defending against OFCCP’s review of the contractor’s utilization rates and compensation practices. Ms. Bradley also has experience in advising employers on wage and hour compliance under federal and state laws; litigating discrimination and retaliation claims advanced under Title VII, ADA, ADEA, and comparable state and local statutes; conducting internal investigations involving discrimination complaints; performing wage and hour compliance reviews; and drafting and negotiating employment agreements including non-compete and non-solicitation provisions.

Ms. Bradley has a broad-based practice counseling and representing employers on compliance with federal and state workplace laws and regulations and designing and implementing sound employment practices and policies. Ms. Bradley has broad experience in conducting effective investigations of workplace claims and grievances, including misconduct, discrimination, retaliation, harassment and other claims employers typically face. She has been called upon by clients to conduct corporate internal investigations on sensitive employment matters, including allegations of serious misconduct and sexual harassment charges involving executive personnel. She is immediate past Chair of the American Bar Association’s House of Delegates, the ABA’s policy-making body; the second-highest elected office in the ABA. She is past President of the 22,000-member Chicago Bar Association and the National Council of Bar Presidents. American Lawyer Magazine selected Ms. Bellows as one of seven women nationally who contributed most to the advancement of women in the legal profession, Chicago Magazine designated her as a Power Lawyer and Crain’s Chicago Business named her in the Who’s Who in Chicago Business List and as one of Chicago’s 100 Women of Influence. In addition, Ms. Bellows has served on the Standing Civil Reform Act Advisory Committee of the U. S. District Court for the Northern District of Illinois, the Illinois Supreme Court Special Commission on the Administration of Justice and the U. S. Peggy R. Mastroianni currently serves as the Associate Legal Counsel in the U.S. Equal Employment Opportunity Commission’s Office of Legal Counsel (OLC). She is responsible for developing Commission guidance under Title VII of the Civil Rights Act of 1964, the Age Discrimination in Employment Act, the Equal Pay Act, and the Americans with Disabilities Act (ADA), and for providing legal advice for the Commission on a wide range of substantive issues and administrative matters.

Mastroianni directed the development of the Commission’s Notices of Proposed Rulemaking on the ADA Amendments Act of 2008 and Title II of the Genetic Information Nondiscrimination Act of 2008, as well as policy documents addressing Religious Discrimination, Unlawful Disparate Treatment of Persons with Caregiving Responsibilities, Race and Color Discrimination, and National Origin Discrimination. Under Mastroianni’s direction, OLC also developed ADA guidance on Reasonable Accommodation, Disability Related Inquiries and Medical Examinations, Workers’ Compensation, and Psychiatric Conditions. Prior to her work in OLC, Mastroianni served as a trial attorney and appellate attorney in the EEOC’s Office of General Counsel.

In 2009, Mastroianni received the American Bar Association Section on Labor and Employment Law’s “Federal Labor and Employment Attorney of the Year Award.” In 2008, she was selected for the “Mary C. Lawton Outstanding Government Service Award” by the ABA’s Section of Administrative Law and Regulatory Practice.
